1. Who you are contracting with

These Terms & Conditions ("Terms") are a legal agreement between you and Righters Produce("Righters Produce", "we", "us", "our"), the provider of the Righters Produce film production platform and related services (the "Service").

2. Acceptance

By creating an account or continuing to use the Service you agree to these Terms and to our Privacy Notice. If you do not agree, do not use the Service. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation. If you use the Service as an individual, you confirm you are of legal age in your country.

3. The Service

Righters Produce provides tools for filmmakers, including story development, screenplay writing, AI-assisted breakdowns, pitch deck creation, production management, and post-production and distribution workflows, offered on Indie, Pro, and Teams subscription plans.

4. Your account

You must provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

5. Acceptable use

You agree not to misuse the Service. In particular, you must not:

• use the Service for any unlawful, fraudulent, or harmful purpose;
• send spam, malware, or content that infringes intellectual property or privacy rights;
• attempt to gain unauthorised access, probe, scan, or scrape the Service;
• interfere with or disrupt the Service or the servers or networks that support it;
• reverse-engineer, resell, redistribute, or circumvent technical limits of the Service.

6. AI features

The Service includes AI-assisted features (for example, script breakdowns, logline and synopsis suggestions, and pitch deck copy). You are responsible for your prompts, for verifying the accuracy of AI outputs, for how you use those outputs, and for having the necessary rights to any content you submit. AI outputs may be inaccurate or incomplete and are not a substitute for professional legal, financial, or other regulated advice. You must not use AI features to generate unlawful content, deepfakes, hate speech, malware, or to jailbreak safety measures. We may filter, restrict, or refuse outputs and may suspend accounts that misuse AI features.

7. Your content

You retain ownership of the scripts, storyboards, budgets, and other content you upload or create in the Service ("Your Content"). You grant Righters Produce a limited, non-exclusive licence to host, store, process, and display Your Content solely to provide and improve the Service to you and your invited collaborators. You are responsible for the legality of Your Content and for having any rights required to submit it. We may remove or restrict content that violates these Terms or applicable law, and we operate a takedown pathway for rights-holder complaints; repeated infringement may lead to account termination.

8. Intellectual property

Righters Produce and its licensors retain all rights, title, and interest in and to the Service, including all software, documentation, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

9. Payments, subscriptions & taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellation, and refund mechanics are governed by Paddle's Checkout / Buyer Terms.

Paid plans renew automatically at the end of each billing period until cancelled. You can cancel from your account or by contacting Paddle at paddle.net.

11. Service availability

We work hard to keep the Service reliable, but we do not guarantee it will be uninterrupted, error-free, or that data loss will never occur. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

12. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid to Paddle for the Service in the twelve months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence where such exclusion is not permitted by law.

13. Indemnity

You will indemnify Righters Produce against claims arising from Your Content, your unlawful use of the Service, or your breach of these Terms.

14. Suspension & termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination, your right to use the Service ends; we will provide a reasonable window to export Your Content before deletion where feasible.

15. Changes to the Service or these Terms

We may update the Service and these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the jurisdiction in which Righters Produce is established, without regard to conflict-of-laws principles. Disputes will be brought before the competent courts of that jurisdiction, subject to any mandatory consumer-protection rules in your country of residence.

17. Assignment & force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond reasonable control.
